Terms of Service

1. Acceptance of Terms

By accessing or using the SearchCapital platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you and SearchCapital ("we", "us", or "our").

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access or use.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose, subject to these Terms. You retain ownership of any content you create within the Service (e.g., theses, notes, pipeline data), but grant us a licence to use such content as necessary to provide the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and GDPR Compliance page. By using the Service, you consent to the collection and use of your data as described therein. We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable EU data protection laws.

The Service aggregates data from third-party sources, including public company registries, financial databases, and other publicly available information. We do not guarantee the accuracy, completeness, or timeliness of third-party data. You acknowledge that such data is provided "as is" and that you are responsible for independently verifying any information before making business decisions based on it.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE DOES NOT CONSTITUTE FINANCIAL, LEGAL, OR INVESTMENT ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEARCHCAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE EU LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless SearchCapital and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the member state in which SearchCapital is established. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in that member state, without prejudice to any mandatory consumer protection provisions that may apply in your country of residence.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
